Terms of service

1.Agreement

These terms form a contract between Hublitics Ltd (company number [company number], registered in England & Wales) and the person or business that opens an account (“you”, “the Customer”). By creating or using an account you accept these terms. If you use Hublitics on behalf of a business, you confirm you have authority to bind it.

2.The service

Hublitics is a subscription operations platform for UK small businesses — clients, jobs, timesheets, expenses, quotes and invoices in one workspace. We provide the service on an “as available” basis and may improve, change or add features over time. We will not make a change that materially reduces core functionality of a paid plan during a billing period without notice.

3.Your account & responsibilities

• You are responsible for activity under your account and for keeping access to your sign-in method secure.
• You must give accurate registration information and keep it up to date.
• You are responsible for the accuracy and lawfulness of the data you put into your workspace, including having a lawful basis to hold data about your own clients and staff.
• You must not share one user seat among multiple people beyond your plan’s user allowance.

4.Acceptable use

You agree not to:

• use Hublitics for anything unlawful, fraudulent, or to store unlawful content;
• attempt to breach security, access other customers’ data, or probe the service for vulnerabilities except under a disclosure process we’ve agreed (see /security);
• resell or provide the service to third parties except your own workspace members;
• overload or disrupt the service, or circumvent usage limits.

We may suspend an account that materially breaches this section, with notice where practical.

5.Fees & billing

• Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Prices are shown on our pricing page and are exclusive of VAT unless stated.
• The free tier is offered as-is and may change with reasonable notice.
• Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period and we do not refund part-periods except where required by law.
• If a payment fails, we may downgrade the workspace to free-tier limits until it is resolved. Your data is retained per the privacy notice.

6.Customer data & data protection

You retain all rights to the data you put into Hublitics (“Customer Data”). You grant us a licence to host and process it solely to provide and support the service.

For Customer Data that is personal data, you are the controller and we are your processor. We process it only on your documented instructions (these terms and your use of the product), apply appropriate security measures, use only the sub-processors listed in our privacy notice, assist you with data-subject requests, and delete or return the data on termination as described there. These data-processing terms form part of this agreement.

You can export Customer Data as CSV at any time from within the app.

7.Availability & support

We aim for high availability but do not guarantee uninterrupted service on any plan, and we don’t currently offer a contractual uptime SLA. We provide support by email at hublitics@outlook.com and aim to respond within one UK business day. Planned maintenance will be notified where it is likely to be disruptive.

8.Warranties & disclaimers

We provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided “as is” without further warranties. Hublitics helps you produce invoices, VAT figures and reports, but you are responsible for checking the accuracy of your own figures and for your own tax, accounting and legal compliance. Hublitics is not a substitute for professional accounting advice.

9.Limitation of liability

Nothing in these terms limits liability that cannot lawfully be limited (including for death or personal injury caused by negligence, or for fraud). Subject to that:

• we are not liable for loss of profit, revenue, goodwill, or indirect or consequential loss;
• our total liability arising out of or in connection with the service in any 12-month period is limited to the fees you paid us for the service in that period (or [floor amount, e.g. £100] if you are on the free tier).

We strongly recommend you keep your own copies of important data via the CSV export.

10.Termination

• You may stop using and close your account at any time.
• We may suspend or terminate an account for material breach of these terms, or for non-payment, with notice where practical.
• On termination your right to use the service ends. We retain and then delete data per the privacy notice retention periods — so export anything you need first.

11.Changes to these terms

We may update these terms. For material changes we will give reasonable notice in the app or by email before they take effect. Continuing to use the service after that means you accept the updated terms.

12.Governing law

These terms and any dispute relating to them are governed by the law of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
